By entering, you are providing your personal information to Mighty Loud Enterprises. How We Collect Geolocation Data: At the time of entry, we may ask you to enable location services on your device so that we can collect your precise geolocation.

How We Use Geolocation Data: If you enable location services, we will collect and use your precise geolocation data to verify your location at a Participating Dealer at the time of entry. 

We do not sell or share your precise geolocation data with anyone, at any time, for any reason.

Your Choices

You are not required to enable location services or to allow us to collect your precise geolocation in order to participate in the Promotion. We delete and will not retain your precise geolocation data after the initial time of entry. At any time, you may choose to ask us to tell you what data we have about you, to correct inaccurate data, to delete your personal information that we no longer need, and to confirm that we do not sell or share your personal information, including precise geolocation, with anyone. Overview

The Mighty Loud Enterprises Presents Ride Into 2025 (the “Promotion”), is sponsored by Mighty Loud Enterprises ("Mighty Loud"), available through participating Harley-Davidson Dealers (“Participating Dealers”) only (Participating Dealer list available here), and consists of the following prize giveaways:

·       Grand Prize Motorcycle Giveaway: The Grand Prize Motorcycle Giveaway offers a total of sixteen (16) prizes: one (1) 1st Grand Prize Motorcycle, one (1) 2nd Grand Prize Motorcycle, fourteen (14) Shopping Spree Prizes (12 for US and 2 for CA), all of which are more fully described below. Entries into the Grand Prize Motorcycle Giveaway will be accepted only on February 15, 2025 from 9:00 a.m. Eastern Standard Time (“EST”) until 11:59 p.m. EST (the “Promotion Entry Period”). Following the close of the Promotion Entry Period, the winners of the 1st Grand Prize Motorcycle and 2nd Grand Prize Motorcycle (collectively the “Grand Prize Motorcycles”) will be selected from all timely entries received through a two-tiered random drawing procedure detailed below (the “Grand Prize Drawings”). The Shopping Spree Prizes will be awarded on an hourly basis on February 15, 2025, beginning at 1:00 p.m. EST. ·       EagleRider Giveaway: The EagleRider Giveaway is offered only through EagleRider Affiliated Participating Dealers (“EagleRider Affiliated Dealers”) and is only available in the United States. The EagleRider Giveaway offers only one (1) EagleRider Prize, as described below. Entries into the EagleRider Giveaway will only be accepted through EagleRider Affiliated Dealers during the Promotion Entry Period. ·       H-D Riding Academy Giveaway: The H-D Riding Academy Giveaway is offered only through H-D Riding Academy Affiliated Participating Dealers (“HDRA Affiliated Dealers”) and is only available in the United States. The H-D Riding Academy Giveaway offers only one (1) Riding Academy Prize (described below). Entries into the H-D Riding Academy Giveaway will only be accepted through HDRA Affiliated Dealers during the Promotion Entry Period. For specific entry methods, winner selection and verification, see Affiliated Dealer Giveaways (below).

·       H-D Member Points Giveaway: The H-D Member Points Giveaway is offered only through H-D Membership Affiliated Particpating Dealers (“H-D Membership Affiliated Dealers”). The H-D Member Points Giveaway offers only one (1) H-D Member Points Prize (described below). Entries into the H-D Member Points Giveaway will only be accepted through H-D Membership Affiliated Dealers during the Promotion Entry Period. The H-D Membership is not currently available to residents of Canada and therefore an alternative prize of approximate equal value is awarded to the winner of the H-D Member Points Prize if they are a resident of Canada. ·       Rolling Austria (pooled): Entrants into the Promotion will be automatically entered into Rolling Austria (the “Rolling Austria Sweepstakes”), a pooled sweepstakes, along with entrants from other specified events. For Rolling Austria prizes, entry methods, and other information, please refer to the Official Rules for Rolling Austria (here) for more information.

For purposes of these Official Rules, each entrant selected during the first round of the Tiered Drawing selection process for any corresponding prize is referred to as a “Semifinalist.” Mighty Loud's computer is the official timekeeping device for this Promotion. Eligibility: Promotion is open only to legal residents of the United States (excluding Hawaii), and the District of Columbia, and Canada (including Quebec), who are at least twenty-one (21) years old at the time of entry. Employees of Mighty Loud, Harley-Davidson, Inc. and its Dealers and retailers, affiliates, sales representatives, distributors, promotional and other vendor agencies, EagleRider (“EagleRider”), any prize suppliers, any other companies directly involved in the offer or administration of this promotion, and all of their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors involved in the promotion, and the immediate family (parent, spouse, including common law spouse, sibling, child, grandparent, grandchild, regardless of where they reside) and household members of all such employees, are not eligible.

Potential winners who are residents of Canada will be required to successfully complete a skill-testing question as a condition of receiving their prizes. Promotion is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Participation constitutes entrant’s full and unconditional agreement to these Official Rules. Mighty Loud’s decisions are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. You are not eligible to participate or receive a prize in this Promotion if you have won and received a prize valued over $600 USD awarded by Mighty Loud or Harley-Davidson as part of the Rolling USA sweepstakes (inclusive of Rolling Daytona, Rolling Laconia, Rolling Milwaukee-to-Sturgis, Rolling Arkansas, or Rolling Texas) or any Harley-Davidson National Dealer Events within the 12 months preceding the Promotion Entry Period. In addition, if you are determined to be a winner in this Promotion of a prize valued over $600 USD, you will be ineligible to participate further in this Promotion or any other such Promotion for the 12 months following such determination.

Prizes, Odds & Prize Restrictions

All prize values in these Official Rules are stated in United States Dollars (USD). The following following prizes are available in this Promotion:

1st Grand Prize Motorcycle (1): 2025 Harley-Davidson® Street Glide Ultra Motorcycle (ARV: $30,749 USD) and, ONLY if the winner RSVP’d through an RSVP Participating Dealer (below), $2,025 USD prepaid Visa® or American Express® card or its equivalent (ARV: $2,025 USD). ARV: up to $32,774.00 USD.

2nd Grand Prize Motorcycle (1): 2025 Harley-Davidson Low Rider ST Motorcycle (ARV: $25,049 USD) and, ONLY if the winner RSVP’d through an RSVP Participating Dealer, a $2,025 USD prepaid Visa® or American Express® card or its equivalent.  ARV: up to $27,074 USD.

H-D Riding Academy Prize (1): New Riders Essentials Package, including one (1) Harley-Davidson New Rider Riding Academy Course and gear. This prize is only offered to entrants through HDRA Affiliated Dealers in the United States and the District of Columbia and is not available in Canada. The Harley-Davidson New Rider Riding Academy Course must be scheduled and completed no later than through December 31, 2025. ARV: $1,800.00 USD.

EagleRider Prize (1): One (1) weekend rental getaway (Friday-Tuesday) from EagleRider. This prize is only available through EagleRider Affiliated Dealers in the United States and the District of Columbia and is not available in Canada.This prize must be used in its entirety no later than December 31, 2025. ARV: $1,985.00 USD.

H-D Membership Prize (1): 100,000 H-D Membership points.This prize is only available through H-D Membership Affiliated Dealers in the United States and the District of Columbia and is not available in Canada. ARV: $1,000.00 USD.

H-D Shopping Spree Prize (12) (United States): One (1) $500 USD H-D Dealership shopping spree, valid at the winner’s Preferred Participating Dealer (as defined below), valid towards towards H-D service, parts, accessories and motor clothes. Shopping Spree Prize may not be applied towards the purchase of a new motorcycle and must be used in its entirety within sixty (60) days of confirmation of winner’s eligibility. ARV: $500.00 USD.

H-D Shopping Spree Prize (2) (Canada): One (1) $500 USD H-D Dealership shopping spree, valid at the winner’s Preferred Participating Dealer, valid towards towards H-D service, parts, accessories and motor clothes. Shopping Spree Prize may not be applied towards the purchase of a new motorcycle and must be used in its entirety within sixty (60) days of confirmation of winner’s eligibility. ARV: $500.00 USD.

Total ARV for this Promotion (all prizes here): $71,633 USD.

Odds: The odds of being selected as a Semifinalist or of winning a H-D Shopping Spree Prize depend on the number of eligible and timely entries received through each Participating Dealer.  The odds of a Semifinalist winning a Grand Prize Motorcycle are 2 in 614. The odds of winning an H-D Riding Academy Prize, EagleRider Prize, or H-D Membership Prize depend on the number of eligible and timely entries received through each HDRA Affiliated Dealer, EagleRider Affiliated Dealer, and H-D Membership Affiliated Dealer, respectively.

Limit one (1) prize per person. All prizes are subject to the sole discretion of Mighty Loud. All taxes, fees, costs, or other expenses or liabilities associated with any prize that are not expressly included in the prize descriptions above are the sole responsibility of each individual winner.

No substitution of any prize is offered, no transfer of any prize to a third party is permitted, and non-cash prizes may not be redeemed for cash. Any portion of a prize not accepted by the winner will be forfeited. There is no cash equivalent or other substitution for any Grand Prize Motorcycle. Mighty Loud reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for paying all applicable federal, state, provincial and local taxes on prizes, and if applicable, winner(s) may receive an IRS Form 1099 or other tax documents for the retail value of any prizes.

IMPORTANT NOTE: IF YOU WIN A PRIZE VALUED OVER $600 USD IN THIS PROMOTION OR HAVE PREVIOUSLY WON AND RECEIVED A PRIZE VALUED OVER $600 USD AWARDED BY MIGHTY LOUD OR HARLEY-DAVIDSON WITHIN 12 MONTHS PRIOR TO THE START OF THIS PROMOTION, YOU WILL NOT BE ELIGIBLE TO WIN ANY ADDITIONAL PRIZE VALUED OVER $600 USD, INCLUDING PRIZE MOTORCYCLE(S), IN ANY CURRENT PROMOTION.

The ARV of any prize may vary, depending on applicable variables including without limitation, date, options, availability, industry, supply and/or seasonal fluctuations. If the actual value of any prize is less than the ARV stated above, winner shall not be entitled to any compensation or reimbursement for the difference.

It will be solely within Mighty Loud's discretion to determine all features of any Grand Prize Motorcycle to be awarded, including but not limited to, color and details; all other features or upgrades will be allowed only if permitted by delivery Dealer and paid for by such Grand Prize Motorcycle winner. make, model, trim level, color and options of prize are subject to change.

With respect to any Grand Prize Motorcycle, none of Mighty Loud, Harley-Davidson, Inc., or their respective affiliates or agents have made or will be responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law, relating to such vehicle, including without limitation, its quality, mechanical condition, merchantability, or fitness for a particular purpose, with the exception of any standard manufacturer’s warranty that may apply to the vehicle. With respect to any other prizes, none of Mighty Loud, Harley-Davidson, Inc., or their respective affiliates or agents have made or will be responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law.

Each Grand Prize Motorcycle winner is responsible for title, license, registration and dealer preparation costs, insurance, sales tax, and other fees associated with the prize. Each Grand Prize Motorcycle winner must have a valid driver’s license in the relevant class or category and the ability to ride a two-wheeled motorcycle and will be required to provide proof of insurance at the time of taking delivery. Each Grand Prize Motorcycle winner must take delivery of motorcycle from the designated Dealer and may be required to execute other documents in order to transfer title and warranty. Released Parties shall not be responsible for any delays beyond their reasonable control associated with the delivery of a Grand Prize Motorcycle to its winner.

Winners of any prize that includes a motorcycle or motorcycle rental are responsible, at their sole expense, for possessing and properly providing valid driver's license in the relevant class or category, insurance, and any other requirements to obtain any prizes. Optional Theft and Damage Waiver or Liability Insurance are not included.

Without limiting the foregoing, winners of any prize that includes a motorcycle or motorcycle rental are solely responsible, at their own expense, for all expenses and incidental costs associated with the prizes not expressly included in the prize description above, including without limitation, all federal, state, provincial and/or local taxes (if any), fees, transportation costs incurred in claiming prize, additional tax, tag, title, license, registration, set-up costs, insurance, accessories, safety gear and/or equipment, modifications, extras, surcharges and any dealer preparation fees not described above as part of the prize.

Winners of any prize that includes lodging or a hotel package must comply with any applicable hotel check-in requirements, such as presentation of a major credit card. Room taxes, if applicable, and other hotel fees (including incidentals) are not included and if applicable, may be payable at the time of check-out by the winner. A deposit or payment in advance or presentation of a credit card by the winner may be required at the time of check-in at the hotel.

All expenses and incidental travel costs not expressly stated in any travel or event-related prize description above, including but not limited to, sales, use or other taxes, passport expenses, fees, passenger tariffs or duties, airline or airport fees, security fees, baggage charges, service charges, facility charges, surcharges, upgrades, extras, meals, beverages, snacks, excursions, alcoholic beverages, tips, gratuities, parking, concessions, sightseeing, souvenirs, merchandise, transfers, COVID or other tests, trip or travel insurance, resort or hotel services, room service, laundry service, spa treatments, local and long distance telephone calls, Internet access, all lodging and transportation expenses not expressly included above, personal items, and incidentals personal charges at lodging, or other expenses are the responsibility solely of winner.

Gift card prizes or prize components are subject to all terms and conditions thereon as well as any additional limitations or restrictions imposed by issuer.

Any images of any prize or prize components in advertising are for illustrative purposes only; actual items awarded as prize/prize components may differ from such images. Entrants agree that Released Parties (below) expressly disclaim all liability in conjunction therewith.

Noncash prizes are not redeemable for cash and may not be sold, bartered or auctioned. The right to receive any prize is personal to winner and is not transferable. Any prize or portion thereof not accepted by any winner is forfeited and no cash or substitute will be offered or permitted. Prizes may not be substituted except that Mighty Loud in its discretion may substitute a prize, or portion thereof, with a prize or portion of equal or greater value if it deems necessary. Any such changes will be announced.

Pre-Promotion RSVP

Optional: You may “RSVP” to the Ride into 2025 Promotion starting January 25, 2025 at RSVP Dealers (see list here). If a Grand Prize Motorcycle winner RSVP’d to the Promotion prior to February 15, 2025, that winner's prize will also include a prepaid $2,025 (USD) Visa® or American Express® card or an equivalent (the “RSVP Gift Card”). For avoidance of doubt, the RSVP Gift Card will be added only to a Grand Prize Motorcycle and only if the corresponding winner also RSVP’d to the Promotion. If no Grand Prize Motorcycle winner RSVP'd to the Promotion prior to February 15, 2025, no RSVP Gift Card will be awarded.

An RSVP is not an entry, and you must enter on February 15, 2025 as described below to be eligible to win.

Grand Prize Motorcycle Giveaway

A.    How to Enter

There are several ways to enter the Grand Prize Motorcycle Giveaway:

·       Scan QR Code at Participating Harley-Davidson Dealer Locations: During the Promotion Entry Period, visit a Participating Dealer to scan a QR Code for access to a registration form. Entering in this manner designates that Participating Dealer as your Harley-Davidson Preferred Participating Dealer (“Preferred Participating Dealer”) for the duration of this Promotion. You will receive two (2) entries in this Promotion for this initial registration entry. Once you have designated your Preferred Participating Dealer, the designation cannot be changed during the course of this Promotion.

·       Other Participating Dealer Methods: Participating Dealers may, from time to time, use their own methods for engagement, including for example unique QR codes or participation in various activities to collect codes or keywords to then enter through the Promotion Website to redeem for entries in this Promotion. No purchase is required to gain access to a QR code, to obtain any codes or keywords for additional entries or otherwise. Click here for a complete list of Participating Dealer locations. Review further details below.

·       Email: To enter without visiting a Participating Dealer, send an email to contestentry@mightyloud.com during the Promotion Entry Period with the following required information: your name, address, date of birth, email address, phone number, and your selected designated Dealer from among the list of Participating Dealers. Once you have designated your Harley-Davidson dealership, the designation cannot be changed during the course of this Promotion. You will receive two (2) entries in this Promotion for each email entry.

Limit maximum of five (5) entries per person and per email address throughout this Promotion, regardless of method of entry. You may receive two (2) entries during the Promotion Entry Period for registering. There are other opportunities during the Promotion Entry Period to submit more entries, and each Participating Dealer may employ a unique approach to this Promotion as a whole; it is within the discretion of each in the marketing of this Promotion, and whether and how to share keywords or codes as part of the entry process. However, no entrant may submit more than five (5) entries regardless of method of entry. All entrants have the opportunity to submit a total of five (5) entries.

All entries must be submitted and received by Mighty Loud by 6:00 p.m. EST on February 15, 2025 to be eligible for any prize drawing in this Promotion. Mighty Loud assumes no responsibility for lost, incomplete, garbled, incorrect, or otherwise unreceived entries. All entries become the property of Mighty Loud and will not be returned or acknowledged. All entries are subject to the “General Entry Restrictions” section below.

Grand Prize Drawings

Mighty Loud will randomly select each potential Grand Prize Winner and each potential Shopping Spree Winner from all eligible entries received by each Participating Dealer group during the Promotion Entry Period, on or around February 17, 2025, in two (2) rounds of drawings (the “Tiered Drawings”).

Semifinalists: During the first Tiered Drawing, Mighty Loud will select one (1) Semifinalist from among all eligible entries within each individual Participating Dealer group for the Grand Prize drawings and the Shopping Spree drawings. For the avoidance of doubt, the first Tiered Drawings will consist of individual drawings such that each pool for those drawings will be made of eligible entries received associated with one (1) Participating Dealer. For the Grand Prizes, a total of six hundred and fourteen (614) Participating Dealers are participating in this Promotion and therefore Mighty Loud intends to draw a total of up to six hundred and fourteen (614) Semifinalists, one from each Participating Dealer. For the US Shopping Spree Prizes, a total of five hundred and sixty six (566) Participating Dealers are participating in this Promotion and therefore Mighty Loud intends to draw a total of up to five hundred and sixty six (566) Semifinalists, one from each Participating Dealer. For the Canada Shopping Spree Prizes, a total of forty eight (48) Participating Dealers are participating in this Promotion and therefore Mighty Loud intends to draw a total of up to forty eight (48) Semifinalists, one from each Participating Dealer. If the total number of Participating Dealers changes, the corresponding number of Semifinalists will also change. .

Grand Prize Winners and Shopping Spree Winners. Mighty Loud will then conduct the second and final Tiered Drawing to select two (2) Grand Prize Winners from the six hundred and fourteen (614) Semifinalists. Subject to verification of eligibility, the first Semifinalist whose entry is so drawn will be declared the 1st Grand Prize Motorcycle winner and the second Semifinalist whose entry is so drawn will be declared the 2nd Grand Prize Motorcycle winner. Additionally, Mighty Loud Will then conduct the second and final Tiered Drawing to select two (2) US Shopping Spree Winners, and one (1) Canadian Shopping Spree Winner.

SALES TAX, TITLE AND REGISTRATION, AND ANY OTHER CHARGES MUST BE PAID BY EACH GRAND PRIZE MOTORCYCLE WINNER TO THE APPROPRIATE DEALER(S) PRIOR TO BEING ENTITLED TO RECEIVE THE Grand Prize Motorcycle. Failure to do so within 30 days of the date that such Grand Prize Motorcycle winner is advised that the motorcycle is ready for pick-up may result in forfeiture of such Grand Prize Motorcycle, in Mighty Loud’s sole and unappealable discretion. Grand Prize Motorcycles cannot be transferred and must be titled in winner's name only. Grand Prize Motorcycle winners shall be solely responsible for obtaining and payment of any federal, state or provincial required registration, inspection, insurance coverage, and taxes for the Grand Prize Motorcycle. Additional information regarding the warranty, pick-up/delivery, and additional information will be provided to the Grand Prize Motorcycle winner in due course after winning. Each Grand Prize Motorcycle winner will be required to complete all relevant documentation, including sales warranty and registration, for the Grand Prize Motorcycle at the Harley-Davidson dealership location of Mighty Loud’s choosing during regular business hours or as otherwise may be instructed by Mighty Loud or the designated Dealer.

Winner Verification

Each potential Grand Prize Motorcycle winner will be notified by email, call, or text message, at Mighty Loud's discretion and will be required to sign and return a Declaration of Compliance, Liability Waiver, and, where legal, a Publicity Release (the "Declaration") which must be received by Mighty Loud within forty-eight (48) hours of the date notice or attempted notice is sent, and in the manner set forth by Mighty Loud in the communication, in order to claim their respective prize. Potential winners who are residents of Canada will be required to successfully complete a time-limited skill-testing question. If any potential winner cannot be reached or fails to comply with any verification requirement herein, the procedures in the section entitled “Disqualification of Winners” below shall apply.

Affiliated Dealer Giveaways

Entries into the EagleRider Giveaway, H-D Riding Academy Giveaway, and H-D Member Points Giveaway (collectively, the “Affiliated Dealer Giveaways”) will be accepted only through EagleRider Affiliated Dealers, HDRA Affiliated Dealers, H-D Membership Affiliated Dealers, respectively, during the Promotion Entry Period.

EagleRider Giveaway: There are two (2) ways to enter the EagleRider Giveaway during the Promotion Entry Period:

H-D Riding Academy Giveaways: There are two (2) ways to enter the H-D Riding Academy Giveaway during the Promotion Entry Period:

If you have not already entered the Promotion, entering in this manner designates that Participating Dealer as your Preferred Participating Dealer for the duration of this Promotion

H-D Member Points Giveaway: The H-D Membership is not currently available to residents of Canada and therefore an alternative prize of approximate equal value is awarded to the winner of the H-D Member Points Prize if they are a resident of Canada. There are two (2) ways to enter the H-D Member Points Giveaway during the Promotion Entry Period:

Visit an H-D Membership Affiliated Dealer and obtain the keyword of the day (a “Keyword”), then visit https://hd-promo.com/ml-dealers and follow the instructions to input the Keyword and any required information to receive one (1) entry into the H-D Member Points Giveaway and one (1) additional entry in the Rolling Austria Sweepstakes. If you have not already entered the Promotion, entering in this manner designates that Participating Dealer as your Preferred Participating Dealer for the duration of this Promotion; or

·       Email: To enter without visiting an H-D Membership Affiliated Dealer, send an email to contestentry@mightyloud.com with a subject line of "H-D Member Points Giveaway" and with your name, address, date of birth, email address, phone number, and your selected designated Dealer from among the list of Participating Dealers in the body to receive one (1) entry into the H-D Member Points Giveaway and one (1) additional entry in the Rolling Austria Sweepstakes. If you have not already entered the Promotion, entering in this manner designates that Participating Dealer as your Preferred Participating Dealer for the duration of this Promotion

Regardless of method, limit one (1) entry per person and per email into each of the Affiliated Dealer Giveaways. As noted, the restrictions described above in the “General Entry Restrictions” (below) shall apply to entries in each of the Affiliated Dealer Giveaways.

Affiliated Dealer Giveaway Winner Selection

Mighty Loud will randomly select the potential winners of the EagleRider Giveaway, the H-D Riding Academy Giveaway, and the H-D Member Points Giveaway, from all eligible entries received by each EagleRider Affiliated Dealer, HDRA Affiliated Dealer, and H-D Membership Affiliated Dealer, respectively, during the Promotion Entry Period, on or around February 17, 2025, using the two (2) round Tiered Drawing procedure above. Specifically,

Semifinalists: During the first Tiered Drawing, Mighty Loud will select one (1) Semifinalist from among all eligible entries within each individual EagleRider Affiliated Dealer, HDRA Affiliated Dealer, and H-D Membership Affiliated Dealer group. For the avoidance of doubt, the first Tiered Drawing will consist of individual drawings such that each pool for those drawings will be made of eligible entries received associated with one (1) particular EagleRider Affiliated Dealer, HDRA Affiliated Dealer, and H-D Membership Affiliated Dealer group, respectively. The number of Semifinalists in each of the Affiliated Dealer Giveaways will depend on the number of EagleRider Affiliated Dealer, HDRA Affiliated Dealer, and H-D Membership Affiliated Dealer, participating in this Promotion.

Winners. Mighty Loud will then conduct the second and final Tiered Drawing to select one (1) winner from the Semifinalists in each of the EagleRider Giveaway, the H-D Riding Academy Giveaway, and the H-D Member Points Giveaway. Potential winners who are residents of Canada will be required to successfully complete a time-limited skill-testing question. Subject to verification of eligibility, the Semifinalists whose entry are so drawn will be declared the winners of the EagleRider Giveaway, the H-D Riding Academy Giveaway, and the H-D Member Points Giveaway (together, “Affiliated Dealer Giveaway winners”) , respectively, and announced live on the Rolling USA Facebook page (https://www.facebook.com/RollingUSA/).

Each Affiliated Dealer Giveaway winner will be notified by email, call, or text message, at Mighty Loud's discretion and may be required to sign and return a Declaration of Compliance, Liability Waiver, and where not prohibited a Publicity Release (the "Declaration") which must be received by Mighty Loud within forty-eight (48) hours of the date notice or attempted notice is sent, and in the manner set forth by Mighty Loud in the communication, in order to claim their respective prize. Potential winners who are residents of Canada will be required to successfully complete a skill-testing question. If any potential winner cannot be reached or fails to comply with any verification requirement herein, the procedures in the section entitled “Disqualification of Winners” below shall apply.

General Entry Restrictions

The following entry restrictions apply to the entire Promotion. Multiple entrants are not permitted to share the same email address, nor are they permitted to share the same phone number. All additional entries submitted over the stated limits as defined herein will be considered void. Any attempt by any entrant to obtain more than the stated number of entries (as outlined in these Official Rules) by using multiple/different email addresses or phone numbers, identities, registrations, logins, or any automated system or other methods will void that entrant's entries in Mighty Loud’s discretion and that entrant may be disqualified.

Any Keyword can only be used once per person and per email address for each of the Rolling Austria Sweepstakes and the Affiliated Dealer Giveaways. Any attempts to use this Keyword for additional entries will be void. For the avoidance of doubt, eligibility requirements and all other limitations, exclusions, and releases set forth throughout these Official Rules apply with equal force to the Affiliated Dealer Giveaways, as with the Rolling Austria Sweepstakes and this Promotion as a whole, unless expressly stated otherwise in this section.

Mighty Loud is not responsible for lost, garbled, incomplete, incorrect, or otherwise unreceived entries. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder. Mighty Loud is not responsible for lost, garbled, incomplete, incorrect, or otherwise unreceived entries.

Disqualification of Winners

Receiving a prize is contingent upon compliance with these Official Rules. Any potential winner who cannot be contacted, fail to sign and return the Declaration or provide any other requested information within the required time period (if applicable), forfeit their respective prize. In such case, Mighty Loud will attempt to verify an alternate winner as follows:

A.    Grand Prize Motorcycle Winner

If the disqualified individual was a potential Grand Prize Motorcycle winner, Mighty Loud will, time permitting, attempt to verify an alternate Grand Prize Motorcycle winner by random drawing from among the remaining Semifinalists until an alternate Grand Prize Motorcycle winner has been verified or no Semifinalists remain. If no Semifinalists remain, no further attempts will be made, and that Grand Prize Motorcycle will not be awarded.

Other Winners

For all other disqualified potential prize winners, Mighty Loud will attempt to verify an alternate winner by random drawing from among the remaining eligible entries for the corresponding Drawing. Mighty Loud, in its discretion, will conduct a minimum of three (3) alternate drawings (if necessary) as described above, but will endeavor, time permitting, to award the applicable prize(s), after which the applicable prize(s) may remain unawarded.

Miscellaneous

Mighty Loud's decisions as to the administration and operation of the Rolling Austria Sweepstakes and the entirety of this Promotion and the selection of all prize recipients are final and binding in all matters related to the Rolling Austria Sweepstakes and Promotion.

Publicity: Except where prohibited, participation in this Promotion constitutes each winner’s consent to Mighty Loud’s and Harley-Davidson, Inc.'s and their respective agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

General Conditions: Mighty Loud reserves the right to cancel, suspend and/or modify the Promotion and Rolling Austria Sweepstakes, in whole or on part, if any fraud, technical failures, human error, or any other factor impairs the integrity or proper functioning of Promotion or the respective prize drawings, or any event or cause beyond Mighty Loud’s control (e.g. events such as natural calamities, national emergencies, wide spread illnesses, declarations of war, acts of God, acts of terrorism) interferes with any aspect of Promotion or the respective prize drawings, including but not limited to fulfillment of the prize(s), as determined by Mighty Loud in its sole discretion. In such event, Mighty Loud, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance and may modify the prizes offered herein. Mighty Loud reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Rolling Austria Sweepstakes or Promotion, or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner.

Any attempt by any person to deliberately undermine the legitimate operation of the Promotion in whole or in part may be a violation of criminal and civil law, and, should such an attempt be made, Mighty Loud reserves the right to seek damages from any such person to the fullest extent permitted by law. Mighty Loud’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Liability Release: By receipt of any prize, winners agree to release and hold harmless Mighty Loud, Mighty Loud Enterprises, and Harley-Davidson, Inc., EagleRider, and all of their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, relating to, arising out of, or in connection with participation in the Promotion or receipt or use or misuse of any prize herein referenced.

Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion, including without limitation, any drawing in the Promotion or in the Rolling Austria Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Promotion entry process or the Rolling Austria Sweepstakes or any of the drawings herein; (4) technical or human error which may occur in the processing of entries, selection of winners, award of prizes or otherwise in the administration of the Promotion or in the Rolling Austria Sweepstakes; (5) late, lost, undeliverable, incomplete, illegible, inaccurate, damaged or stolen mail; (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or in the Rolling Austria Sweepstakes, or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Promotion and/or Rolling Austria Sweepstakes, if it is possible. No more than the stated number of prizes will be awarded. If production, technical, seeding, programming or any other reasons cause more than the stated number of prizes set forth in these Official Rules to be available and/or claimed, Mighty Loud reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims or otherwise in its sole discretion.

Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of, related to, or in connection with the Promotion or the Rolling Austria Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by a state or federal court sitting in Cobb County, Georgia; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Promotion and/or the Rolling Austria Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Mighty Loud in connection with the Promotion or with the Rolling Austria Sweepstakes, or any prize awarded, shall be governed by, and construed in accordance with, the laws of the State of Georgia without giving effect to any choice of law or conflict of law rules (whether of the State of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Georgia. By entering, entrant also agrees to hereby expressly and irrevocably waive all rights to trial by jury in any action or proceeding instituted in any way relating to, arising out of, or in connection with the entirety or any part of this Promotion and the Rolling Austria Sweepstakes. All entrants, as a condition of entry, agree to be bound by these rules and the decisions of Mighty Loud, which shall be final and binding. Mighty Loud reserves the right in its sole discretion to disqualify all individuals (and their entries) who tamper with the entry process.

By participating in this Promotion and submitting an entry, you agree to receive by mail, email, phone call, or text message communications from Mighty Loud in the administration of this Promotion and the Rolling Austria Sweepstakes as well as communications from Harley-Davidson and any of its authorized dealers, including your chosen Preferred Participating Dealer, by mail, email, phone or text. If at any point you do not wish to receive such communications, including at time of entry, you may choose to opt out at any time. If you choose to opt out of communications from Mighty Loud during the pendency of this Promotion, you may forfeit your opportunity to win if the opt out results in Mighty Loud's inability to contact you.

FOR CANADIAN RESIDENTS ONLY: The courts in some provinces of Canada will not apply consumer laws from another jurisdiction/province to some types of disputes. If an entrant resides in one of those provinces, that province’s local laws will apply to such disputes related to these Official Rules. Otherwise, entrant agrees that the laws of the Province of Ontario will apply to any disputes arising out of or relating to these Official Rules. Similarly, if the laws in an entrant’s province will not permit such entrant to consent to the jurisdiction and venue of the courts in the Province of Ontario, then the entrant’s local jurisdiction and venue will apply to such disputes related to these Official Rules. Otherwise, all claims arising out of or relating to these Official Rules will be litigated exclusively in the Ontario courts, and each entrant agrees that the courts of the Province of Ontario shall have exclusive jurisdiction over such disputes or claims.
