Overview

The Mighty Loud Enterprises Presents Meet Your Match (the “Promotion”), is sponsored by Mighty Loud Enterprises ("Mighty Loud"), available through participating Harley-Davidson Dealers (“Participating Dealers”) only (Participating Dealer list available here) and consists of the following prize giveaways:

● Grand Prize Tri Glide Ultra Motorcycle Giveaway (9/2/2025 - 9/30/2025): The Grand Prize Tri Glide Ultra Motorcycle Giveaway (the Grand Prize Motorcycle Giveaway) offers a total of five (5) prizes: one (1) Grand Prize Tri Glide Ultra Motorcycle and $2500 cash gift card, and four (4) “Free Gas for a Year” $1000 gift cards (“Gift Cards”) (all described below). Entries into the Grand Prize Motorcycle Giveaway will be accepted starting on September 2, 2025 at 9:00 a.m. Eastern Standard Time (“EST”) and ending on September 30, 2025 at 11:59 p.m. EST (the “Promotion Entry Period”), except for the Gift Cards, for which a single giveaway ends each week, the Entry Period ends on September 8, September 15, September 22, and September 30, 2025 at 11:59 pm EST. Following the close of the Promotion Entry Period, the Grand Prize Tri Glide Ultra Motorcycle winner will be selected from all timely entries received through a two-tiered random drawing procedure detailed below (the “Grand Prize Drawings”). The Free Gas for a Year Gift Card Prizes will be awarded on September 9, September 16, September 23, and on or around 10/2/2025. Only the Grand Prize Tri Glide Ultra Motorcycle and $2500 gift card are offered as part of the Grand Prize Motorcycle Giveaway. ● EagleRider Giveaway: The EagleRider Giveaway is offered only through EagleRider Affiliated Dealers (“EagleRider Affiliated Dealers”) and is only available in the United States and the District of Columbia. The EagleRider Giveaway offers one (1) EagleRider Prize (described below). Entries into the EagleRider Giveaway will only be accepted through EagleRider Affiliated Dealer during the Promotion Entry Period. ● Shift Into Gear Sweepstakes (pooled): Entrants into Meet Your Match who complete a test ride of a Harley-Davidson motorcycle at a participating dealership will be provided with a unique keyword which, when successfully redeemed in the sweepstakes website, will grant the entrant a single entry into the Shift Into Gear sweepstakes, a pooled sweepstakes, along with entrants from Rolling Arkansas, Rolling Texas, and other specified events. For purposes of these Official Rules, each entrant selected during the first round of the selection process for any corresponding prize is referred to as a “Semifinalist”). Mighty Loud's computer is the official timekeeping device for this Promotion. For information on this Promotion, you may visit https://events.h-dpromo.com/meetyourmatch.

Eligibility: Promotion is open only to legal residents of the United States (excluding Hawaii), and the District of Columbia, and Canada (including Quebec), who are at least twenty-one (21) years old at the time of entry. Employees of Mighty Loud, Harley-Davidson, Inc. and its Dealers and retailers, affiliates, sales representatives, distributors, promotional and other vendor agencies, any prize suppliers, any other companies directly involved in the offer or administration of this promotion, and all of their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors involved in the promotion, and the immediate family (parent, spouse, including common law spouse, sibling, child, grandparent, grandchild, regardless of where they reside) and household members of all such employees, are not eligible.

Potential winners who are residents of Canada will be required to successfully complete a skill-testing question as a condition of receiving their prizes. Promotion is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Participation constitutes entrant’s full and unconditional agreement to these Official Rules. Mighty Loud’s decisions are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. You are not eligible to participate or receive a prize in this Promotion if you have won and received a prize valued over $600 awarded by Mighty Loud or Harley-Davidson as part of the Rolling USA sweepstakes (inclusive of Rolling Daytona, Rolling Laconia, Rolling Milwaukee, Rolling Sturgis, Rolling Arkansas, or Rolling Texas) or any Harley-Davidson National Dealer Events within the 12 months preceding the Promotion Entry Period. In addition, if you are determined to be a winner in this Promotion of a prize valued over $600, you will be ineligible to participate further in this Promotion or any other such Promotion for the 12 months following such determination.

Prizes, Odds & Prize Restrictions

All prize values in these Official Rules are stated in United States Dollars (USD). The following prizes are available in this Promotion:

Grand Prize Tri Glide Ultra Motorcycle (1): 2025 Harley-Davidson® Tri Glide Ultra Motorcycle in Whiskey Fire / Vivid Black and $2500 cash gift card. Maximum ARV: $43,599 USD.

EagleRider Prize (1): One (1) weekend rental getaway (Friday-Tuesday) from EagleRider®. This prize is only available through EagleRider Affiliated Dealers in the United States and the District of Columbia and is not available in Canada. This prize must be used in its entirety no later than December 31, 2025. ARV: $1,985.00.

Free Gas for a Year $1000 Gift Card Prizes (4) : (US/DC/Canada residents) Four (4) $1000 USD Visa® or American Express® Prepaid Gift Cards, ARV: $4000.00.

Total ARV for this Promotion (all prizes here): $49,584 USD.

Odds: The odds of being selected as a Semifinalist or of winning Gift Card Prize depend on the number of eligible and timely entries received through each Participating Dealer. The odds of winning an EagleRider Prize depend on the number of eligible and timely entries received through each EagleRider Affiliated Dealer.

All prizes are subject to the sole discretion of Mighty Loud. All taxes, fees, costs, or other expenses or liabilities associated with any prize that are not expressly included in the prize descriptions above are the sole responsibility of each individual winner.

No substitution of any prize is offered, no transfer of any prize to a third party is permitted, and non-cash prizes may not be redeemed for cash. Any portion of a prize not accepted by the winner will be forfeited. There is no cash equivalent or other substitution for any Grand Prize Tri Glide Ultra Motorcycle. Mighty Loud reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winners are responsible for paying all applicable federal, state, provincial and local taxes on prizes, and if applicable, winner(s) may receive an IRS Form 1099 or other tax documents for the retail value of any prizes.

IMPORTANT NOTE: IF YOU WIN A PRIZE VALUED OVER $600 IN THIS PROMOTION OR HAVE PREVIOUSLY WON AND RECEIVED A PRIZE VALUED OVER $600 AWARDED BY MIGHTY LOUD OR HARLEY-DAVIDSON WITHIN 12 MONTHS PRIOR TO THE START OF THIS PROMOTION, YOU WILL NOT BE ELIGIBLE TO WIN ANY ADDITIONAL PRIZE VALUED OVER $600, INCLUDING PRIZE MOTORCYCLE(S), IN ANY CURRENT PROMOTION.

The ARV of any prize may vary, depending on applicable variables including without limitation, date, options, availability, industry, supply and/or seasonal fluctuations. If the actual value of any prize is less than the ARV stated above, winner shall not be entitled to any compensation or reimbursement for the difference.

It will be solely within Mighty Loud's discretion to determine all features of the Grand Prize Tri Glide Ultra Motorcycle to be awarded, including but not limited to, color and details; all other features or upgrades will be allowed only if permitted by delivery Dealer and paid for by the Grand Prize Tri Glide Ultra Motorcycle winner. Make, model, trim level, color and options of prize are subject to change.

With respect to the Grand Prize Tri Glide Ultra Motorcycle, none of Mighty Loud, Harley-Davidson, Inc., or their respective affiliates or agents have made or will be responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law, relating to such motorcycle, including without limitation, its quality, mechanical condition, merchantability, or fitness for a particular purpose, with the exception of any standard manufacturer’s warranty that may apply to the motorcycle. With respect to any other prizes, none of Mighty Loud, Harley-Davidson, Inc., or their respective affiliates or agents have made or will be responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law.

Grand Prize Tri Glide Ultra Motorcycle winner is responsible for title, license, registration and dealer preparation costs, insurance, sales tax, and other fees associated with the prize. Grand Prize Tri Glide Ultra Motorcycle winner must have a valid driver’s license in the relevant class or category and the ability to ride a two-wheeled motorcycle and will be required to provide proof of insurance at the time of taking delivery. Grand Prize Tri Glide Ultra Motorcycle winner must take delivery of motorcycle from the designated Dealer and may be required to execute other documents in order to transfer title and warranty. Released Parties shall not be responsible for any delays beyond their reasonable control associated with the delivery of a Grand Prize Tri Glide Ultra Motorcycle to its winner.

Winners of any prize that includes a motorcycle or motorcycle rental are responsible, at their sole expense, for possessing and properly providing valid driver's license in the relevant class or category, insurance, and any other requirements to obtain any prizes. Optional Theft and Damage Waiver or Liability Insurance are not included.

Without limiting the foregoing, winners of any prize that includes a motorcycle or motorcycle rental are solely responsible, at their own expense, for all expenses and incidental costs associated with the prizes not expressly included in the prize description above, including without limitation, all federal, state, provincial and/or local taxes (if any), fees, transportation costs incurred in claiming prize, additional tax, tag, title, license, registration, set-up costs, insurance, accessories, safety gear and/or equipment, modifications, extras, surcharges and any dealer preparation fees not described above as part of the prize.

All expenses and incidental travel costs not expressly stated in any travel or event-related prize description above, including but not limited to, sales, use or other taxes, passport expenses, fees, passenger tariffs or duties, airline or airport fees, security fees, baggage charges, service charges, facility charges, surcharges, upgrades, extras, meals, beverages, snacks, excursions, alcoholic beverages, tips, gratuities, parking, concessions, sightseeing, souvenirs, merchandise, transfers, COVID or other tests, trip or travel insurance, resort or hotel services, room service, laundry service, spa treatments, local and long distance telephone calls, Internet access, all lodging and transportation expenses not expressly included above, personal items, and incidentals personal charges at lodging, or other expenses are the responsibility solely of winner.

Shopping Spree Prizes are subject to all terms and conditions thereon as well as any additional limitations or restrictions imposed by issuer.

Any images of any prize or prize components in advertising are for illustrative purposes only; actual items awarded as prize/prize components may differ from such images. Entrants agree that Released Parties (below) expressly disclaim all liability in conjunction therewith.

Prizes are non-transferable and do not have any cash equivalent. Noncash prizes are not redeemable for cash and may not be sold, bartered or auctioned. The right to receive any prize is personal to winner and is not transferable. Any prize or portion thereof not accepted by any winner is forfeited and no cash or substitute will be offered or permitted. Prizes may not be substituted except that Mighty Loud in its discretion may substitute a prize, or portion thereof, with a prize or portion of equal or greater value if it deems necessary. Any such changes will be announced.

Grand Prize Motorcycle Giveaway & “Free Gas for a Year” $1000 Gift Card Giveaway

A. How to Enter

There are several ways to enter the Grand Prize Motorcycle Giveaway:

● Scan or Check-in at Participating Harley-Davidson Dealer Locations: During the Promotion Entry Period, visit a Participating Dealer to scan a QR Code for access to a registration form. Entering in this manner designates that Participating Dealer as your Harley-Davidson Preferred Participating Dealer (“Preferred Participating Dealer”) for the duration of this Promotion. You will receive two (2) entries in this Promotion for this initial registration entry. For each time during the Promotion Entry Period that you “check-in” at a Participating Dealer by scanning the QR code and clicking the “Check-In” button, you will receive one (1) entry in this Promotion. Limit one (1) check-in per day. Once you have designated your Preferred Participating Dealer, the designation cannot be changed during the course of this Promotion.

● Other Participating Dealer Methods: Participating Dealers may, from time to time, use their own methods for engagement, including for example unique QR codes or participation in various activities to collect codes or keywords to then enter through the Promotion Website to redeem for entries in this Promotion. No purchase is required to gain access to a QR code, to obtain any codes or keywords for additional entries, or to obtain additional entries by the "check-in" process or otherwise. ● Email: To enter without visiting a Participating Dealer, send an email during the Promotion Entry Period with your name, address, date of birth, email address, phone number, and your selected designated Dealer from among the list of Participating Dealers to: contestentry@mightyloud.com. Once you have designated your Harley-Davidson dealership, the designation cannot be changed during the course of this Promotion. You will receive two (2) entries in this Promotion for each email entry.

Limit maximum of five (5) entries total per person and per email address throughout this Promotion, regardless of method of entry. You may receive two (2) entries during the Promotion Entry Period for registering. There are other opportunities during the Promotion Entry Period to submit more entries, and each Participating Dealer may employ a unique approach to this Promotion as a whole; it is within the discretion of each in the marketing of this Promotion, and whether and how to share keywords or codes as part of the entry process. However, no entrant may submit more than five (5) entries total regardless of method of entry. All entrants have the opportunity to submit a total of five (5) entries.

All entries must be submitted and received by Mighty Loud by 11:59 p.m. EST on September 30, 2025. Mighty Loud assumes no responsibility for lost, incomplete, garbled, incorrect, or otherwise unreceived entries. All entries become the property of Mighty Loud and will not be returned or acknowledged. All entries are subject to the “General Entry Restrictions” section below.

B. Grand Prize Drawing

Mighty Loud will randomly select the potential Grand Prize Tri Glide Ultra Motorcycle and $2500 cash gift card winner from all eligible entries received by each Participating Dealer group during the Promotion Entry Period, on or around September 30, 2025, in two (2) rounds of drawings (the “Tiered Drawings”), from all eligible entries received by each Participating Dealer group during the Promotion Entry Period on or before September 30, 2025 at 11:59 pm EST, in two (2) rounds of drawings (the “Tiered Drawings”).

Grand Tri Glide Ultra Motorcycle Drawing: During the first Tiered Drawing, Mighty Loud will select one (1) Semifinalist from among all eligible entries within each individual Participating Dealer group. For the avoidance of doubt, the first Tiered Drawing will consist of individual drawings such that each pool for those drawings will be made of eligible entries received associated with one (1) particular Participating Dealer. A current list (and number) Participating Dealers (and therefore the number of potential Semifinalists) in this Promotion is available here and Mighty Loud intends to draw a one (1) Semifinalist from each Participating Dealer. If the total number of Participating Dealers changes, the corresponding number of Semifinalists will also change.

Grand Prize Winner Drawings. Mighty Loud will then conduct the second and final Tiered Drawing to select one (1) Grand Prize Tri Glide Ultra Motorcycle winner from the Semifinalists. Subject to verification of eligibility, the Semifinalist whose entry are so drawn will be declared the Grand Prize Tri Glide Ultra Motorcycle Winner.

SALES TAX, TITLE AND REGISTRATION, AND ANY OTHER CHARGES MUST BE PAID BY THE GRAND PRIZE TRI GLIDE ULTRA MOTORCYCLE WINNER TO THE APPROPRIATE DEALER(S) PRIOR TO BEING ENTITLED TO RECEIVE THE GRAND PRIZE TRI GLIDE ULTRA MOTORCYCLE. Failure to do so within 30 days of the date that the Grand Prize Tri Glide Ultra Motorcycle winner is advised that the motorcycle is ready for pick-up may result in forfeiture of the Grand Prize Tri Glide Ultra Motorcycle, in Mighty Loud’s sole and unappealable discretion. Grand Prize Tri Glide Ultra Motorcycle(s) cannot be transferred and must be titled in winner's name only. Grand Prize Tri Glide Ultra Motorcycle winner(s) shall be solely responsible for obtaining and payment of any federal, state or provincial required registration, inspection, insurance coverage, and taxes for the Grand Prize Tri Glide Ultra Motorcycle. Additional information regarding the warranty, pick-up/delivery, and additional information will be provided to the Grand Prize Tri Glide Ultra Motorcycle winner in due course after winning. The Grand Prize Tri Glide Ultra Motorcycle winner will be required to complete all relevant documentation, including sales warranty and registration, for the Grand Prize Tri Glide Ultra Motorcycle at the Harley-Davidson dealership location of Mighty Loud’s choosing during regular business hours or as otherwise may be instructed by Mighty Loud or the designated Dealer.

“Free Gas for a Year” $1000 Gift Card Giveaway Drawings

Mighty Loud will randomly select the potential Gift Card winners from all eligible entries received by each Participating Dealer group each week during the Promotional Entry Period on September 9, September 16, September 23, and on or about October 2, 2025. Subject to verification of eligibility, the finalists whose entries are so drawn will be declared the Gift Card Winners.

C. Winner Verification

The potential Grand Prize Tri Glide Ultra Motorcycle winner will be notified by email, call, or text message, at Mighty Loud's discretion and will be required to sign and return a Declaration of Compliance, Liability Waiver, and, where legal, a Publicity Release (the "Declaration") which must be received by Mighty Loud within forty-eight (48) hours of the date notice or attempted notice is sent, and in the manner set forth by Mighty Loud in the communication, in order to claim their respective prize. Potential winners who are residents of Canada will be required to successfully complete a time-limited skill-testing question. If any potential winner cannot be reached or fails to comply with any verification requirement herein, the procedures in the section entitled “Disqualification of Winners” below shall apply.

Entries into the EagleRider Giveaway will be accepted only through EagleRider Affiliated Dealers during the Promotion Entry Period.

During the Promotion Entry Period, visit a Participating EagleRider Dealer to scan a QR Code for access to a registration form. Mighty Loud will randomly select the potential winners of the EagleRider Giveaway on or around October 2, 2025, using the two (2) round Tiered Drawing procedure above. Specifically:

Semifinalists: During the first Tiered Drawing, Mighty Loud will select one (1) Semifinalist from among all eligible entries within the individual EagleRider Affiliated Dealer group. For the avoidance of doubt, the first Tiered Drawing will consist of individual drawings such that each pool for those drawings will be made of eligible entries received associated with one (1) particular EagleRider Affiliated Dealer group, respectively. The number of Semifinalists in the EagleRider Giveaway will depend on the number of EagleRider Affiliated Dealers participating in this Promotion. EagleRider Giveaway Winner. Mighty Loud will then conduct the second and final Tiered Drawing to select one (1) winner from the Semifinalists in the EagleRider Giveaway. Subject to verification of eligibility, the Semifinalist whose entry is so drawn will be declared the winner of the EagleRider Giveaway.

The EagleRider Giveaway winner will be notified by email, call, or text message, at Mighty Loud's discretion and may be required to sign and return a Declaration of Compliance, Liability Waiver, and where not prohibited a Publicity Release (the "Declaration") which must be received by Mighty Loud within forty-eight (48) hours of the date notice or attempted notice is sent, and in the manner set forth by Mighty Loud in the communication, in order to claim their respective prize. If any potential winner cannot be reached or fails to comply with any verification requirement herein, the procedures in the section entitled “Disqualification of Winners” below shall apply.

General Entry Restrictions

The following entry restrictions apply to the entire Promotion. Multiple entrants are not permitted to share the same email address, nor are they permitted to share the same phone number. All additional entries submitted over the stated limits as defined herein will be considered void. Any attempt by any entrant to obtain more than the stated number of entries (as outlined in these Official Rules) by using multiple/different email addresses or phone numbers, identities, registrations, logins, or any automated system or other methods will void that entrant's entries in Mighty Loud’s discretion and that entrant may be disqualified.

Any Keyword can only be used once per person and per email address. Any attempts to use any Keyword for additional entries will be void. For the avoidance of doubt, eligibility requirements and all other limitations, exclusions, and releases set forth throughout these Official Rules apply with equal force to the Shift Into Gear sweepstakes, EagleRider Giveaway, and this Promotion as a whole, unless expressly stated otherwise in this section.

Mighty Loud is not responsible for lost, garbled, incomplete, incorrect, or otherwise unreceived entries. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder. Mighty Loud is not responsible for lost, garbled, incomplete, incorrect, or otherwise unreceived entries.

Disqualification of Winners

Receiving a prize is contingent upon compliance with these Official Rules. Any potential winner who cannot be contacted, or fails to sign and return the Declaration or provide any other requested information within the required time period (if applicable), forfeits their respective prize. In such case, Mighty Loud will attempt to verify an alternate winner as follows:

A. Grand Prize Motorcycle Winner

If the disqualified individual was a potential Grand Prize Tri Glide Ultra Motorcycle winner, Mighty Loud will, time permitting, attempt to verify an alternate Grand Prize Tri Glide Ultra Motorcycle winner by random drawing from among the remaining Semifinalists until an alternate Grand Prize Tri Glide Ultra Motorcycle winner has been verified or no Semifinalists remain. If no Semifinalists remain, no further attempts will be made, and the Grand Prize Tri Glide Ultra Motorcycle will not be awarded.

B. Other Winners

For all other disqualified potential prize winners, Mighty Loud will attempt to verify an alternate winner by random drawing from among the remaining eligible entries for the corresponding Drawing. Mighty Loud, in its discretion, will conduct a minimum of three (3) alternate drawings (if necessary) as described above, but will endeavor, time permitting, to award the applicable prize(s), after which the applicable prize(s) may remain unawarded.

Miscellaneous

Mighty Loud's decisions as to the administration and operation of the entirety of this Promotion and the Shift Into Gear Sweepstakes, and the selection of all prize recipients are final and binding in all matters related to this Promotion.

Publicity: Except where prohibited, participation in this Promotion constitutes each winner’s consent to Mighty Loud’s and Harley-Davidson, Inc.'s and their respective agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

General Conditions: Mighty Loud reserves the right to cancel, suspend and/or modify this Promotion and/or the Shift Into Gear Sweepstakes, in whole or on part, if any fraud, technical failures, human error, or any other factor impairs the integrity or proper functioning of Promotion or the respective prize drawings, or any event or cause beyond Mighty Loud’s control (e.g. events such as natural calamities, national emergencies, wide spread illnesses, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Promotion, Shift Into Gear Sweepstakes and/or its respective prize drawings, including but not limited to fulfillment of the prize(s), as determined by Mighty Loud in its sole discretion. In such event, Mighty Loud, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance and may modify the prizes offered herein. Mighty Loud reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of this Promotion or the Shift Into Gear Sweepstakes, or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner.

Any attempt by any person to deliberately undermine the legitimate operation of the Promotion in whole or in part may be a violation of criminal and civil law, and, should such an attempt be made, Mighty Loud reserves the right to seek damages from any such person to the fullest extent permitted by law. Mighty Loud’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Liability Release: By receipt of any prize, winners agree to release and hold harmless Mighty Loud, Mighty Loud Enterprises, Harley-Davidson, Inc., EagleRider, and all of their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, relating to, arising out of, or in connection with participation in the Promotion or receipt or use or misuse of any prize herein referenced.

Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion, including without limitation, any drawing in the Promotion or in the Shift Into Gear Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Promotion entry process or the Shift Into Gear Promotion or any of the drawings herein; (4) technical or human error which may occur in the processing of entries, selection of winners, award of prizes or otherwise in the administration of the Promotion or the Shift Into Gear Promotion; (5) late, lost, undeliverable, incomplete, illegible, inaccurate, damaged or stolen mail; (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or the Shift Into Gear Promotion, or receipt or use or misuse of any prize. If for any reason an entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Promotion and/or the Shift Into Gear Promotion, if it is possible. No more than the stated number of prizes will be awarded. If production, technical, seeding, programming or any other reasons cause more than the stated number of prizes set forth in these Official Rules to be available and/or claimed, Mighty Loud reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims or otherwise in its sole discretion.

Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of, related to, or in connection with the Promotion or the Shift Into Gear Promotion, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by a state or federal court sitting in Cobb County, Georgia; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Promotion and/or the Shift Into Gear Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Mighty Loud in connection with the Promotion or the Shift Into Gear Promotion, or any prize awarded, shall be governed by, and construed in accordance with, the laws of the State of Georgia without giving effect to any choice of law or conflict of law rules (whether of the State of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Georgia. By entering, entrant also agrees to hereby expressly and irrevocably waive all rights to trial by jury in any action or proceeding instituted in any way relating to, arising out of, or in connection with the entirety or any part of this Promotion and the Shift Into Gear Promotion. All entrants, as a condition of entry, agree to be bound by these rules and the decisions of Mighty Loud, which shall be final and binding. Mighty Loud reserves the right in its sole discretion to disqualify all individuals (and their entries) who tamper with the entry process.

By participating in this Promotion and submitting an entry, you agree to receive by mail, email, phone call, or text message communications from Mighty Loud in the administration of this Promotion and the Shift Into Gear Promotion as well as communications from Harley-Davidson and any of its authorized dealers, including your chosen Preferred Participating Dealer, by mail, email, phone or text. If at any point you do not wish to receive such communications, including at time of entry, you may choose to opt out at any time. If you choose to opt out of communications from Mighty Loud during the pendency of this Promotion, you may forfeit your opportunity to win if the opt out results in Mighty Loud's inability to contact you.

FOR CANADIAN RESIDENTS ONLY: The courts in some provinces of Canada will not apply consumer laws from another jurisdiction/province to some types of disputes. If an entrant resides in one of those provinces, that province’s local laws will apply to such disputes related to these Official Rules. Otherwise, entrant agrees that the laws of the Province of Ontario will apply to any disputes arising out of or relating to these Official Rules. Similarly, if the laws in an entrant’s province will not permit such entrant to consent to the jurisdiction and venue of the courts in the Province of Ontario, then the entrant’s local jurisdiction and venue will apply to such disputes related to these Official Rules. Otherwise, all claims arising out of or relating to these Official Rules will be litigated exclusively in the Ontario courts, and each entrant agrees that the courts of the Province of Ontario shall have exclusive jurisdiction over such disputes or claims.
