READ THESE RULES BEFORE ENTERING. Participation constitutes your full and unconditional agreement to these Official Rules, including but not limited to, the consent to receive communications related to this Promotion, a class action waiver, and a jury trial waiver.

Harley-Davidson, Inc. and each of its respective affiliates, subsidiaries, shareholders, representatives, officers, directors, agents, and employees (collectively, the “H-D Entities”) will have no liability or responsibility for any claim arising in connection with participation in this Promotion or any Prize awarded. The H-D Entities have not offered or sponsored this Promotion in any way.

PROMOTION OVERVIEW: One (1) winner will win in this Harley-Davidson Salute to Service Sweepstakes (the “Promotion”), sponsored by Mighty Loud Enterprises (“Mighty Loud” or “Sponsor”). The Promotion winner will be selected in one (1) drawing from among the qualified participants, as more fully detailed herein. Participants will be required to comply with these contest rules (the “Official Rules”) and residents of Canada will be required to answer a skill testing question in order to receive the Prize.

ENTRY PERIOD: Promotion entry period begins September 13, 2024 at 9:00 a.m. Eastern Time and ends on September 15, 2024 at 11:59 p.m. Eastern Time (the “Entry Period”). All entries must be submitted and received by the Sponsor during the Entry Period to be eligible to participate in the Promotion and be eligible for the Prize. The Sponsor’s clock shall be the official timekeeper for the Promotion.

ELIGIBILITY: The Promotion is open only to legal residents of the continental United States, including the District of Columbia and Alaska, but excluding Hawaii, and to legal residents of Canada, all of whom must have attained age of majority in their respective state, province, or territory of residence at the time of entry. Employees of Mighty Loud, Harley-Davidson, Inc. and its dealers and retailers, affiliates, sales representatives, distributors, and promotional and other vendor agencies, as well as their respective parent companies, affiliates, subsidiaries, service agencies or independent contractors involved in the Promotion, and the immediate family (parent, spouse, including common law spouse, sibling, child, grandparent, grandchild, regardless of where they reside) and household members of all such employees, are not eligible to enter the Promotion. The Promotion is subject to all applicable federal, state, provincial, territorial and local laws and regulations and is void where prohibited by applicable law. Participation in this Promotion constitutes an entrant’s full and unconditional agreement to these Official Rules. The Sponsor’s decisions are final and binding in all matters related to the Promotion. Winning a Prize is contingent upon fulfilling all requirements set forth in these Official Rules.

If you win a Prize in this Promotion, you will not be eligible to win any prize (valued over $500 USD) in any other promotions or contests held or carried out by the Sponsor or Harley-Davidson in 2024. Entrants who have already won a prize valued over $500 USD in a Promotion held by Sponsor in 2023 or 2024 are not eligible for this Promotion.

HOW TO ENTER:

There are several methods of entry to the Promotion. Each different method of entry may provide a different amount of entries to the Promotion. NO PURCHASE NECESSARY.

Participating Harley-Davidson Dealer Locations:

During the Entry Period, visit a Harley-Davidson Dealer participating in the Promotion (each a “Participating Dealer”) to scan a QR Code for access to a Promotion registration form. Click here for a complete list of Participating Dealer locations. Entering the Promotion in this manner designates that Participating Dealer as your Harley-Davidson “Preferred Participating” dealer for the duration of this Promotion. You will receive two (2) entries for this method of entry.

Notice of Collecting Geolocation Data regarding this method of entry:

How We Collect Geolocation Data: At the time of this initial entry, we may ask you to enable location services on your device so that we can collect your precise geolocation.

How We Use Geolocation Data: If you enable location services, we will collect and use your precise geolocation data to verify your location at a Participating Dealer at the time of entry.

We do not sell or share your precise geolocation data with anyone, at any time, for any reason.

Your Choices: You are not required to enable location services or to allow us to collect your precise geolocation in order to participate in the Promotion. We delete and will not retain your precise geolocation data after the initial time of entry. At any time, you may choose to ask us to tell you what data we have about you, to correct inaccurate data, to delete your personal information that we no longer need, and to confirm that we do not sell or share your personal information, including precise geolocation, with anyone. Participating Dealers may, from time to time, use their own methods for engagement, including participation in various activities to collect codes or keywords to then enter through the websites for the Promotion (click here for a list of dealership websites) to redeem for additional Promotion entries. No purchase is required to gain access to a QR code, to obtain any codes or keywords for additional entries, or otherwise. Review further details below. Each Participating Dealer may have a unique approach to this Promotion; while it is within the discretion of each to share keywords or codes as part of the entry process, their use is further defined and limited in these Official Rules. Keyword entries obtained from a secondary dealer not selected as your Preferred Participating dealer will not change your Preferred Participating dealer selection.

Entry to the Promotion using the entry method described above is the “Participating Dealer Method”.

You can also enter the Promotion by visiting the “Event Page” on Mighty Loud’s website at https://hd-promo.com/salutetoservice, clicking the link to view the participating dealers, and following the instructions to complete and submit a registration form. The form will request certain information, including your name, address, date of birth, phone number, email address, and that you designate a Harley-Davidson dealership from a list of Participating Dealers. Once you have designated your Harley-Davidson dealership, the designation cannot be changed during the course of this Promotion. You will receive two (2) entries upon registration through the Website. You can thereafter access the “Event Page” for keyword information in order to submit additional entries up to the stated limit.

You can alternatively enter the Promotion by sending emails with a subject line of "Salute to Service Sweepstakes Entry" during the Entry Period with your name, address, date of birth, email address, phone number, and your selected designated dealer from among the list of Participating Dealers to: contestentry@mightyloud.com. You will receive two (2) entries upon registration. You can thereafter send emails with the same information to submit additional entries up to the stated limit. Once you have designated your Harley-Davidson dealership, the designation cannot be changed during the course of this Promotion.

Limit: Limit maximum of seven (7) entries total per person and per email address and mobile phone number throughout the Promotion, regardless of the method of entry. Any and all additional entries submitted over the stated limits as defined herein will be considered void. Only one person per email address and mobile phone number.

You will receive two (2) entries during the Entry Period through initial entry via the Participating Dealer Method and the Website. There are other opportunities during the Entry Period to submit more entries as further described above, and each Participating Dealer may employ a unique approach to the Promotion as a whole; it is within the discretion of each in the marketing of this Promotion, and whether and how to share keywords or codes as part of the entry process. However, no entrant may submit more than seven (7) entries total regardless of method of entry. All entrants have the opportunity to submit a total of seven (7) entries. Each valid entry in accordance with these Official Rules will be considered.

Sponsor assumes no responsibility for lost, incomplete, or incorrect entries. All entries must be submitted and received by Sponsor by 11:59 pm Eastern Time on September 15, 2024 to be eligible for the drawing. All entries become the property of the Sponsor and will not be returned or acknowledged.

Multiple entrants are not permitted to share the same email address or mobile phone number. Any attempt by any entrant to obtain more than the stated number of entries (as outlined below) by using multiple/different email addresses, mobile phone numbers, identities, registrations and logins, or any other methods will void that entrant’s entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being an authorized account holder.

ODDS OF WINNING AND PRIZE DETAILS: Odds of winning depend on the number of eligible entries received. Odds of being selected as a Qualifier (as defined below) for the prize drawing depend on the number of eligible entries received from all methods of entry into the Promotion, per designated Participating Dealer.

PRIZE: The Promotion will consist of the following prize(s) (the “Grand Prize” or the “Prize”) (total approximate retail value (“ARV”) of $35,049 USD):

(a) one (1) Harley-Davidson Road Glide Limited (ARV of $33,699 USD); and

If the winner is a resident of the USA:

(b) 100,000 Harley-Davidson Membership Points*, redeemable at participating Harley-Davidson dealers or online (ARV of $1,000); and

If the winner is a resident of Canada**:

(b) a cash prize of $1,000 USD gift card (as determined by Sponsor in its sole discretion); and

*In order to be eligible for the 100,000 Membership Points, winner must be a member in good standing of H-D Membership as of the time of the drawing, as further detailed herein.

**The Harley-Davidson Membership and Club EagleRider membership are not currently available to residents of Canada and therefore an alternative prize of approximate equal value is awarded to the winner of the Grand Prize if they are a resident of Canada.

It will be solely within Sponsor’s discretion to determine all features of the Harley-Davidson motorcycle to be awarded as part of the Grand Prize, including but not limited to, color and details; all other features or upgrades will be allowed only if permitted by delivery dealer and paid for by the Grand Prize winner. All Prizes are awarded “as-is” without any warranty of any kind, either express or implied, and to the fullest extent permitted by applicable law, none of Sponsor, Harley-Davidson, Inc., or their respective affiliates or agents have made or will be responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law, relating to such vehicle, including without limitation, its quality, mechanical condition, merchantability, or fitness for a particular purpose, with the exception of any standard manufacturer’s warranty that may apply to any vehicle portion of the Prizes, if applicable. With respect to the Grand Prize and any prize that includes any motorcycle or vehicular element, none of Sponsor, Harley-Davidson, Inc., or their respective affiliates or agents have made or will be responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law, relating to any such vehicle, including without limitation, its quality, mechanical condition, merchantability, or fitness for a particular purpose, with the exception of any standard manufacturer’s warranty that may apply to the vehicle. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason.

All federal, provincial, state or territorial taxes, fees, costs, registrations, insurance coverage, inspections or other expenses or liabilities associated with any element of the Prize(s) are the responsibility solely of the individual winner. SALES TAX, TITLE AND REGISTRATION, AND ANY OTHER CHARGES, TAXES, OR FEES MUST BE PAID BY THE GRAND PRIZE WINNER TO THE APPROPRIATE DEALER(S) OR AUTHORITY, AS APPLICABLE, PRIOR TO BEING ENTITLED TO RECEIVE THE GRAND PRIZE. Failure to do so within thirty (30) days of the date that the Grand Prize winner is advised that the motorcycle is ready for pick-up may result in forfeiture of the Grand Prize, in Sponsor’s sole and unappealable discretion. The Grand Prize cannot be transferred and must be titled in winner’s name only. Additional information regarding the warranty, pick-up/delivery, and additional information will be provided to the Grand Prize winner in due course after winning. Grand Prize winner will be required to complete all relevant documentation, including sales warranty and registration, for the Grand Prize at the Harley-Davidson dealership location of Sponsor’s choosing during regular business hours or as otherwise may be informed by Sponsor or the designated Participating Dealer.

Winner of the Grand Prize must have a valid driver’s license and will be required to provide proof of valid vehicle or motorcycle insurance at time of delivery. Winner of the Grand Prize must take delivery of motorcycle from the designated dealer.

WINNER SELECTION AND TERMS: Within approximately seventy-two (72) hours after the close of the Entry Period, the Sponsor will conduct one (1) random draw in respect of each Participating Dealer and randomly select one (1) Promotion entry from among all eligible entries received that are affiliated with such Participating Dealer (each selection, a “Qualifier”), such that there is one (1) Qualifier selected in respect of each Participating Dealer for a total of six hundred and thirty-five (635) Qualifiers, selected in distinct drawings at random for each of the Participating Dealers.

Sponsor will then conduct one (1) further random draw from among the six hundred and thirty-five (635) Qualifiers in which it will select the winner of the Grand Prize. Limit one (1) prize maximum per person.

Before being declared a winner of a Prize, the selected entrant(s) will be notified by email, call, or text message at Sponsor’s sole discretion and will be required to:

(a) sign and return a Declaration of Compliance, Liability Waiver;

(b) where not prohibited by applicable law, sign and return a Publicity Release; and

(collectively, the “Requirements”).

A representative from the Sponsor will contact the potential Prize winner(s) to confirm eligibility to award the Prize(s).

The Requirements must be received or complied with within forty-eight (48) hours of the date notice or attempted notice is sent to the selected entrant(s), and in the manner set forth by the Sponsor in the communication, in order for a selected entrant to claim their Prize. Any potential winner(s) of the Prize(s) who cannot be contacted, or who fails to complete or comply with the Requirements or to provide any other information requested by the Sponsor within the time period designated by the Sponsor, shall be deemed to have refused and forfeited their respective Prize(s) and thereby disqualified and ineligible to receive any further Prize. Receiving a Prize is contingent upon compliance with these Official Rules.

If a potential winner is determined ineligible or otherwise disqualified for any reason, at the discretion of Sponsor (and as further described herein), or declines a Prize or forfeits a Prize, the Sponsor may conduct another random draw for the Prize(s) from among all remaining eligible Qualifier entries. Sponsor may conduct a minimum of three (3) alternate draws (if necessary) as described above, but will endeavor, time permitting, to award the Prize, after which the applicable Prize may remain un-awarded. The Prize winner(s) will be contacted regarding the fulfillment of the motorcycle within 8-10 weeks of the conclusion of the Promotion by their designated dealership and it will be fulfilled by the designated dealer as soon as it becomes available.

INDEMNIFICATION AND RELEASE: By entering the Promotion or receiving any Prize, and to the fullest extent permitted by applicable law, each entrant hereby releases and holds harmless the Sponsor, Mighty Loud Enterprises, and Harley-Davidson, Inc. and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt or use or misuse of any Prize herein referenced.

LIMITATION OF LIABILITY: The Released Parties assume no liability and will not be responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion or the prize drawings; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion or the prize drawings; (4) technical or human error which may occur in the administration of the Promotion, the prize drawings, or the processing of entries; (5) late, lost, undeliverable, unreceived, illegible, unreadable, garbled, damaged or stolen mail, email, or other entries; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion, the prize drawings, or receipt or use or misuse of any Prize. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Promotion, if it is possible. No more than the stated single Prize will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated single Prize as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated single Prize in accordance with these Official Rules.

DISPUTES: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion, including the prize drawings or any Prize awarded, shall be resolved individually, without resort to any form of class action or other class-wide method for dispute resolution, and exclusively by a state or federal court sitting in Cobb County, Georgia; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion or the prize drawings, shall be governed by, and construed in accordance with, the laws of the State of Georgia without giving effect to any choice of law or conflict of law rules (whether of the State of Georgia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Georgia. By entering, entrant also agrees to hereby expressly and irrevocably waive all rights to trial by jury in any action or proceeding instituted relating in any way or arising in any way out of the Promotion. All entrants, as a condition of entry, agree to be bound by these Official Rules and the decisions of the Sponsor, which shall be final and binding. Sponsor reserves the right in its sole discretion to disqualify any and all individuals (and their entries) who tamper with the entry process.

FOR CANADIAN RESIDENTS ONLY: The courts in some provinces of Canada will not apply consumer laws from another jurisdiction/province to some types of disputes. If an entrant resides in one of those provinces, that province’s local laws will apply to such disputes related to these Official Rules. Otherwise, entrant agrees that the laws of the Province of Ontario will apply to any disputes arising out of or relating to these Official Rules. Similarly, if the laws in an entrant’s province will not permit such entrant to consent to the jurisdiction and venue of the courts in the Province of Ontario, then the entrant’s local jurisdiction and venue will apply to such disputes related to these Official Rules. Otherwise, all claims arising out of or relating to these Official Rules will be litigated exclusively in the Ontario courts, and each entrant agrees that the courts of the Province of Ontario shall have exclusive jurisdiction over such disputes or claims.

The Sponsor’s decisions as to the administration and operation of the Promotion and the selection of the potential Prize winners, are final and binding.

PERSONAL INFORMATION AND PRIVACY POLICY: Entry requires submission of certain information, including name, date of birth, address, phone number, and email address. All such personal information collected during this Promotion is subject to Mighty Loud’s privacy policy, accessible at https://www.mightyloud.com/privacy-policy. For Canadian residents, the personal information gathered about entrants will be used solely for the administration of the Promotion. Entrants may request access and correction to their personal information, and withdraw their consent to the Sponsor’s use of their personal information (subject to legal or contractual restrictions and reasonable notice), by contacting the Sponsor at help@mightyloud.com, using subject line “Personal Information Request.” The Sponsor will store personal information about entrants in the United States and, as a result, such information may be accessible to law enforcement and national security authorities of that jurisdiction under laws applicable there. By entering into this Promotion, each entrant expressly consents to the Sponsor and Harley-Davidson, its agents and/or representatives, collecting, storing, sharing and using the personal information submitted at the time of entry (including, without limitation, name, address, etc.) for the purpose of administering the Promotion, unless the entrant agrees otherwise. You may be offered the opportunity to receive additional communications from Sponsor or Harley-Davidson or about their products, and upcoming contests and promotions.

By participating in this Promotion and submitting an entry, you agree to receive by mail, email, phone call, or text message communications from the Sponsor in the administration of this Promotion as well as communications from Harley-Davidson and any of its authorized dealers, including your chosen Preferred Participating dealer, by mail, email, phone or text. If at any point you do not wish to receive such communications, including at time of entry, you may choose to opt out at any time. No communication unrelated to the contest, commercial or otherwise, will be sent to the entrant by the Sponsor, unless the entrant has otherwise authorized the Sponsor to do so or as permitted by applicable law. If you choose to opt out of communications from Mighty Loud or Harley-Davidson during the pendency of this Promotion, you may forfeit your opportunity to win.

GENERAL CONDITIONS:

(a) The Sponsor’s decisions as to the administration and operation of the Promotion, including without limitation the selection of the Qualifiers and ultimate winner(s) are final and binding in all matters related to the Promotion.

(b) Sponsor reserves the right to cancel, suspend and/or modify the Promotion, any prize drawing(s), or any part thereof if any fraud, technical failures, human error, or any other factor impairs the integrity or proper functioning of any of the foregoing, or any event or cause beyond Sponsor’s control (e.g. events such as natural calamities, national emergencies, wide spread illnesses, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Promotion or the prize drawing, including but not limited to fulfillment of the Prize, as determined by Sponsor in its sole discretion. In such event, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance and may modify the Prize(s) offered herein.

(c) Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion, the prize drawings or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion or the prize drawings may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Except as specifically set forth herein, no substitution of any prize is offered, no transfer of any prize to a third party is permitted and non-cash prize may not be redeemed for cash. Any portion of a prize not accepted by the winner will be forfeited.

(d) Void wherever prohibited or restricted by law. All income, federal, state, provincial, territorial and local laws and regulations apply. Prize recipients will be solely responsible for paying all applicable and local taxes on Prize, and if applicable, winner may receive an IRS Form 1099 for the retail value of any Prize.

PUBLICITY: Except where prohibited, participation in the Promotion constitutes each winner’s consent to Sponsor’s and Harley-Davidson, Inc.‘s and their respective agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.
